1. Operator and acceptance
These Terms and Conditions are between you and XTEK Invest SRL, with registered address Str. Mihail Kogalniceanu 1, Miroslava, Iasi, Romania, Trade Register J2007001534220, CUI / VAT RO21789595 ("Operator", "we", "us", or "our").
By accessing or using UptimeBoss, creating a portal account, requesting an instance, or using a provisioned UptimeBoss instance, you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the service.
2. Eligibility
- You must be legally capable of entering into a binding agreement.
- If you use UptimeBoss on behalf of a company or other entity, you represent that you have authority to bind that entity.
- UptimeBoss may be used by businesses and individual users, but it is not designed for children.
3. Accounts and portal access
- You must provide accurate, current, and complete information for your portal account.
- You are responsible for maintaining the confidentiality of your credentials and for activity under your account unless caused by our breach of these Terms or applicable law.
- You must notify us promptly if you believe your account or credentials have been compromised.
- We may require email verification, password resets, or other identity or security checks before providing or restoring access.
4. Service description
UptimeBoss is a monitoring and operational management platform that may include website and API checks, SSL monitoring, TCP and ping checks, heartbeat monitoring, remote agents, status pages, incidents, maintenance notices, portal access, and related administration or provisioning functions.
The exact features, limits, and workflows available to a given account, package, or instance may change over time.
5. Early access and beta status
Some or all of UptimeBoss may be provided in early access, beta, preview, or limited-availability form. In that phase:
- features may change, be withdrawn, or be replaced;
- onboarding, approvals, provisioning, and recovery may involve manual or semi-manual steps;
- we may impose or change limits, packages, or operational controls;
- we do not promise that any early-access feature will continue in its current form.
Unless we expressly agree otherwise in writing, early-access use is provided without any service level commitment, guaranteed support response time, or guaranteed long-term availability of any particular preview feature.
6. Acceptable use
You may not use UptimeBoss to:
- break the law or encourage unlawful activity;
- scan, probe, attack, or monitor systems, hosts, domains, or services without authorization;
- interfere with or disrupt the integrity, security, or performance of UptimeBoss or another party's systems;
- upload malicious code, harmful payloads, credential-harvesting content, or abusive traffic;
- use the service for spam, phishing, fraud, deceptive practices, or rights infringement;
- bypass package limits, rate limits, onboarding controls, account restrictions, or security measures;
- use UptimeBoss in a way that creates disproportionate load, abuse risk, or operational instability.
7. Monitoring targets and credentials
You are solely responsible for the systems, endpoints, domains, credentials, and content you choose to monitor or connect to UptimeBoss.
- You must have a lawful basis and all required permissions to monitor the targets you configure.
- You must not provide credentials or secrets unless you are authorized to do so and understand the operational consequences.
- You remain responsible for the legality, accuracy, and security of your monitoring configuration and notification destinations.
8. Subdomains and instance naming
If we provision an instance using a subdomain under a UptimeBoss-controlled base domain, such as *.uptimeboss.io:
- the parent domain and DNS authority remain ours or our licensors';
- your right to use the assigned subdomain is limited, non-exclusive, revocable, and tied to compliant use of the service;
- we may reject, reserve, rename, disable, or reclaim a requested or assigned subdomain to protect security, trademarks, rights, operations, brand integrity, or naming consistency;
- you do not acquire ownership of a UptimeBoss-controlled subdomain merely by using it.
9. Customer data and content
As between you and us, and subject to applicable law, you retain your rights in the content, configuration, monitoring data, messages, and other materials you submit to the service ("Customer Data").
You grant us the limited rights necessary to host, process, transmit, back up, secure, troubleshoot, and otherwise use Customer Data to provide, maintain, support, secure, and improve UptimeBoss and to comply with law.
You represent that you have all rights and permissions needed for Customer Data and that our use of it as permitted by these Terms will not violate law or third-party rights.
10. Pricing and future billing
Unless and until we explicitly enable billing, checkout, invoicing, or separate commercial terms, portal access and early-access instance requests may be offered without online payment through the site.
If pricing is displayed before billing is live, that pricing is informational, indicative, planned, or launch-oriented only unless we explicitly state that paid billing is active and present the applicable commercial terms at the point of order.
When paid billing is introduced, additional commercial terms, package rules, invoicing terms, tax handling, refund rules, suspension rules, and payment-provider terms may apply.
11. Intellectual property
UptimeBoss, the UptimeBoss name, logos, interface elements, software, documentation, site content, visual design, and related materials are owned by us or our licensors and are protected by intellectual property laws.
Subject to these Terms and your compliance with them, we grant you a limited, revocable, non-transferable, non-sublicensable right to access and use UptimeBoss for your own personal or internal business purposes.
You may not copy, resell, sublicense, reverse engineer, decompile, create derivative works from, or otherwise exploit the service except where applicable law expressly permits it despite this restriction.
12. Suspension and termination
We may suspend, restrict, disable, or terminate access to all or part of the service if reasonably necessary to:
- address security, abuse, fraud, or legal risk;
- protect the integrity or availability of the platform;
- investigate suspected violations of these Terms;
- comply with law or lawful requests from authorities;
- handle operational, infrastructure, or provider-related constraints.
We will use reasonable judgment about notice where practical, but we may act without prior notice if immediate action is appropriate.
You may stop using the service at any time. Sections that by their nature should survive termination will survive, including provisions on payment obligations, intellectual property, disclaimers, liability, indemnity, and dispute resolution.
13. Disclaimers
To the maximum extent permitted by law, UptimeBoss is provided "as is" and "as available". We do not guarantee uninterrupted availability, perfect accuracy, error-free operation, guaranteed alert delivery, guaranteed incident detection, or that the service will meet every operational or regulatory requirement you may have.
Monitoring tools reduce risk; they do not eliminate risk. You remain responsible for your own operational decisions, fallback processes, backups, continuity plans, and incident handling.
UptimeBoss is not intended to be the sole basis for decisions involving emergency response, life-support systems, critical safety systems, or any use where delayed, missed, or inaccurate information could reasonably be expected to cause death, personal injury, or catastrophic harm.
14. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, willful misconduct where non-excludable, or death or personal injury caused by negligence where the law does not allow exclusion.
Subject to the sentence above, and to the maximum extent permitted by law:
- we will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, contracts, opportunities, or anticipated savings;
- our aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of EUR 250 or the total amounts you paid us for the relevant service in the 12 months before the event giving rise to the claim.
If your relationship with UptimeBoss is governed by mandatory consumer law that does not permit one or more of these limitations, those mandatory rules will prevail to that extent.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless the Operator and its officers, directors, staff, contractors, and affiliates from claims, liabilities, losses, damages, and reasonable costs arising out of or related to:
- your unlawful use of the service;
- your monitoring of targets without proper authorization;
- your Customer Data, content, credentials, domains, or configuration;
- your breach of these Terms or applicable law;
- your violation of third-party rights.
16. Governing law and disputes
These Terms are governed by the laws of Romania, excluding conflict-of-law rules, except to the extent mandatory law requires otherwise.
The courts of Iasi, Romania will have exclusive jurisdiction, unless mandatory law gives a consumer the right to bring proceedings elsewhere.
17. Changes to these Terms
We may update these Terms from time to time. The updated version becomes effective when posted unless a later effective date is stated. If a change is material, we may provide additional notice by site notice, portal notice, or email where appropriate.
Your continued use of the service after the effective date of the updated Terms means you accept the updated Terms.
